Lennox Buys Comfort-Aire Maker Heat Controller, Widening Its Distributor Bench

Lennox signed a deal to acquire Michigan-based Heat Controller, adding the Comfort-Aire and Century equipment brands to its distributor lineup.

Lennox International (NYSE: LII) signed a definitive agreement on June 18 to acquire Heat Controller, a Michigan-based HVAC equipment supplier that owns the Comfort-Aire and Century brands. Heat Controller sells primarily through independent distributors rather than direct to contractors, and Lennox says the acquisition is aimed at strengthening its reach into that small and mid-size distributor channel rather than replacing its existing product lines.

Lennox CEO Alok Maskara framed the deal around distributor relationships, saying the acquired brands "strengthen how we serve our distributor partners." Heat Controller CEO Philip Windham echoed that logic, describing the tie-up as a way to keep delivering the flexibility and availability his distributor partners have come to rely on. Financial terms weren't disclosed, and the deal is expected to close later this year pending regulatory approval.

The move continues a pattern of major HVAC manufacturers acquiring smaller, distributor-focused equipment brands rather than building out that channel organically, adding scale on the supply side of an industry that's already seeing heavy consolidation among the contractors themselves.

Equipment availability and lead times are a daily operational headache for HVAC contractors, especially independents who rely on regional distributors rather than manufacturer-direct pricing. A deal like this can mean more consistent stock and support for shops running Comfort-Aire or Century equipment, but it also means fewer independently owned brands in the supply chain overall, a dynamic contractors have watched play out on the labor and roll-up side of the industry for years and are now seeing on the equipment side too.
